BISTRO BUDDY - Content Creator Influencer Collaboration Agreement
Parties. This agreement is between the person signing this form and PageRank Kings LLC d/b/a BISTRO BUDDY, including its owners, managers, contractors, event partners, platforms, websites, apps, brands, sponsors, successors, and assigns where applicable.
Purpose. Use this for creators, reviewers, influencers, videographers, photographers, writers, and social media collaborators. The signer confirms that the information submitted is truthful, current, and submitted voluntarily by a person with authority to sign.
Confidentiality and trade secrets. The signer may receive non-public information including plans, pricing, customer or vendor data, event logistics, app features, sales strategy, sponsor leads, beta screens, credentials, passwords, CRM data, analytics, lists, source materials, and business methods. The signer must protect that information, use it only for the approved BISTRO BUDDY purpose, not copy or disclose it except as authorized, and promptly return or delete it on request. These duties continue after the relationship ends and do not limit lawful whistleblower rights or disclosures required by law.
Photo, video, audio, name, likeness, and story release. The signer grants BISTRO BUDDY permission to photograph, film, record, edit, publish, display, stream, archive, distribute, repost, advertise, and otherwise use the signer’s name, image, likeness, voice, appearance, statements, biography, business identity, social handle, submitted content, and event participation in any lawful media, worldwide, without additional approval or compensation unless a separate written agreement says otherwise.
Release of claims. To the fullest extent allowed by law, the signer releases BISTRO BUDDY and related parties from claims connected with authorized use of submitted materials, media capture, participation, promotion, editing, publication, omission, display, distribution, or lawful business use, including claims for privacy, publicity, defamation by implication, emotional distress, royalties, residuals, or approval rights, except where prohibited by law.
Content, feedback, and intellectual property. Unless a separate written agreement says otherwise, the signer grants BISTRO BUDDY a perpetual, worldwide, royalty-free, transferable, sublicensable license to use, edit, combine, publish, distribute, promote, and monetize content, footage, photos, copy, captions, testimonials, ideas, feedback, bug reports, improvements, templates, and deliverables submitted for BISTRO BUDDY purposes. Feedback may be used without payment, attribution, or restriction.
Advertising, endorsements, and FTC-style disclosures. The signer must make truthful statements only, must not create fake reviews or misleading endorsements, and must clearly disclose any free product, compensation, commission, employment, family, personal, sponsor, affiliate, or other material connection when posting, reviewing, recommending, tagging, or promoting BISTRO BUDDY, event partners, sponsors, vendors, restaurants, drinks, products, or experiences.
No misuse, no circumvention, and non-solicitation. For twelve months after access to a confidential opportunity, the signer must not use BISTRO BUDDY confidential information, introductions, sponsor leads, event leads, vendor lists, CRM data, pricing, private strategy, or relationship information to divert opportunities away from BISTRO BUDDY, bypass BISTRO BUDDY on deals introduced through BISTRO BUDDY, solicit BISTRO BUDDY contractors or volunteers to leave for a competing project, or interfere with active BISTRO BUDDY events, clients, vendors, sponsors, or platform relationships. This section is intended as a narrow protection of confidential information and relationships, not a broad ban on earning a living.
Creator standards. Creator must use original or properly licensed content, avoid deceptive editing, avoid undisclosed sponsored claims, respect venue and guest privacy, and deliver usable files or post links when requested.
Electronic consent and signature. By checking the required boxes, typing a legal name, selecting a signature date, and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored and reproduced for business and legal records.
Governing law; severability. Unless a controlling law requires otherwise, this form is governed by Connecticut law. If any section is limited or unenforceable, the remaining sections continue to apply, and the limited section should be enforced to the maximum lawful extent.
