BISTRO BUDDY - Sponsorship Deliverables Proof Performance Agreement
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use to confirm a sponsor’s activation details, required assets, approvals, deliverables, reporting and completion evidence. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Scope. The parties confirm that only the identified package, deliverables, dates, locations and approved changes are included. Informal discussions do not expand the scope unless documented.
Sponsor assets and approvals. The sponsor must provide usable logos, copy, links, disclosures, product information and approval contacts by stated deadlines and represents that supplied assets may be used for the campaign.
Performance and substitutions. BISTRO BUDDY will use commercially reasonable efforts to deliver the agreed activation. Equivalent substitutions or make-goods may be proposed when weather, venue, platform, inventory, safety or production conditions interfere.
Measurement. Proof of performance may include links, screenshots, photographs, platform analytics, attendance records and campaign summaries. Third-party metrics may be delayed, estimated or limited by platform availability.
Compliance. Regulated products, endorsements, offers, claims, age restrictions and promotions require accurate sponsor instructions and appropriate legal and platform compliance.
Payment and cancellation. Fees, deposits, refund rights, cancellation terms and payment schedules are controlled by the applicable proposal, invoice or separate sponsorship agreement.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
